RichardD., Of the 40,000,000 shares to be issued, 20,000,000 go to senior creditors, 1,200,000 to unsecured creditors, and 4, 200,000 to management.

I wonder where the other 14,600,000 shares will be allocated??

Sincerely,

Doug F.

This filing is total horseshit! Dr. Dresnick and company took the easy way out and totally capitulated to the creditor interests at the expense of the current shareholders. Of course, Dr. D. and his mgt. team make out like bandits when they get their new stock options at the end of this SHORT bankruptcy period. Something smells really rotten in this deal, if not downright illegal.

I can't believe these idiots couldn't come up with a plan to pay down the existing debts from the huge revenue run rate.

Seth Flam should be strung up for this fiasco, and Dresnick should get the same if not worse for effectively killing all shareholder interests. What a bunch of pussies!!!!!!!!!!!

Any comments from the FPAM gurus, i.e. Douglas and Vanni, are appreciated.
