jc,
I would find preferable, a structured percentage commission
and a limited indemnification for expenses if unsuccessful.
I find the massive up front payment in shares with
NO performance criteria to be alarming in the extreme.
A higher share price would benefit them certainly but
they have been given a large enough position for free
that it hardly matters.
