What everyone seems to be forgetting or at least has not made reference to is the following taken from the WRN news release dated March 13, 1998.

>"International Rigs is also negotiating the acquisition of other related oil and gas manufacturing service companies. All of such acquisitions are predicated on share exchange transactions wherein the target companies are independently valued and International Rigs issues shares at US$5.00 equal to each such valuation. Westrend is negotiating its investment at a considerably lower price than US$5.00 per share."

So if it is considerably less than US$5.00 per share then the percent ownership for WRN will be greater.

Let's hope this will be the case and that we won't get fleeced.

RJM.

Wink, the $36.75 Million (total net revenue) is just the $7.35 multiplied by a guesstimate number of 5M outstanding shares of Skytex. The 32 Million is the current number of shares outstanding in WRN including those listed in escrow (this number came from the VSE web site). I am figuring that we are going to see Skytex with AT LEAST 5 Million shares out after the acquisitions are completed (Skytop, Taylor and the Houston deal).

I figure we need the $7.35/share of Skytex in earnings (assuming the 435K share figure is reality) to generate a .10/share earnings base for WRN, this does not change dependant on the percentage WRN owns. Only the total NET revenue to generate the per share amount changes, dependant on the actual total outstanding shares of Skytex the revenue is applied to. This brings me back to my original figure of $36.75 Million NET revenue based on 5M shares of Skytex to generate the required $7.35 per share earnings needed re: WRN desired income levels.

Keep in mind I am still only targeting a $1.00 US share price for WRN with these figures. The math is correct, the $1.00 share value for WRN is only my opinion, based on the math.

Salut,
Leigh McBain
