erin4, You are very right!

Reg S is a horrible way to do business. Reg S is often associated with illegal shorting of stock.

I have not yet seen a stock overcome the Reg S problem (SYCR, HOPR, STNX, etc.). Once a company gets involved with Reg S, the risk factor increases 100 fold. Of course, only companies that are absolutely desperate for cash go that route.

If you remember, BICO cut a deal with the holders of the Reg S some time ago that involved an orderly conversion of debt to stock. In order for BICO to cut a deal, they must have given up something big. I wonder what they gave to the holders of the Reg S.
