Suing someone is one thing, winning yet another, actually collecting the judgement, way off in the distance. I wouldn't count on that "cash" to revitalize the company. At least not in the for seeable future.

The board can cancel shares that have been issued in error or as the result of fraud. If there is a dispute as to the "facts" the court will hold a hearing and decide.

Your assumption is probably true....in addition to cancellation, Jack would be looking for damages. Mostly concerning the extra shares already sold.....hard to cancel them :))
