Intelispan Signs Letter of Intent to Purchase CCS

SCOTTSDALE, Ariz.--(BUSINESS WIRE)--Aug. 10, 1998--Intelispan, Inc. (OTC BB: IVPN) announced today the signing of a letter of intent to purchase Corporate Computing Services (CCS) from Process Management Corporation.

Under the terms of the agreement, Intelispan will purchase CCS for $20,000,000 cash and stock, and on completion of the transition will merge CCS's operations with Intelispan.

Originally formed from the merger of Greyhound Computer Corporations' Chicago and Phoenix data centers, CCS is a full-service provider of data services and solutions to financial, commercial and health-care markets in the Southwest.

Its clients represent all major industries, including manufacturing, distribution, high tech, health care and banking, and include the Dial Corporation [NYSE:DL - news] and Boeing. Based in Phoenix, CCS has primary operating facilities in Mesa and Scottsdale, Ariz.

It employs 90 persons as well as 40 contract/part-time employees. According to CCS, revenues for the current year have been $1,000,000 per month. Information about the company is available on the World Wide Web at ccs-pmc.com.

''Upon completion of the acquisition, we will offer our customers new enterprise management services over our virtual private network service,'' said Peter A. Nelson, Intelispan Chief Executive Officer. ''These network-enabled services will help make our exSPANd VPN a one-stop solution. We will be able to provide an easy-to-implement solution for enterprise-wide networking; it is completely integrated and allows companies of all sizes to take advantage of the benefits of enterprise-wide data exchange and value-added network services.''

''For CCS, becoming part of Intelispan offers our customers a distinctively different option for networking services,'' said Michael P. Choate, President of CCS.

''We first began working with Intelispan as a value-added reseller of their VPN service, and it was clear to us that the Intelispan network solution was far superior to others in terms of security, scalability, flexibility and ease of implementation.

''The opportunity for our companies to work as a single entity provides customers with a powerful range of network services from a single source, without having the capital costs associated with assembling and integrating these various components.''

Intelispan will incorporate CCS network services as part of its exSPANd(tm) VPN. Built on WorldCom's Internet Protocol (IP) network which is physically separate from the Internet, exSPANd provides all the remote access service features and capabilities of a private corporate network, including enhanced security, performance, flexibility, information and control.

exSPANd, with CCS services, will include:

World-Class Enterprise Management Services
High end, High Availability Computing Resources
24 x 7 Network and Systems Management Services

Intelispan to Bundle Public Key Infrastructure with WorldCom's Managed Private VPN Service

SCOTTSDALE, Ariz.--(BUSINESS WIRE)--Sept. 3, 1998--Officials with Intelispan, Inc. (OTC BB: IVPN) announced today that its subsidiary, Contego, has formed a strategic alliance with WorldCom Advanced Networks (NASDAQ NMS: WCOM - news) to integrate Intelispan's Public Key Infrastructure (PKI) with WorldCom's private, managed Internet Protocol (IP) digital fiber ATM network.

This alliance will allow the integration of the advanced IP management and IP filtering 'soft firewall' features of the WorldCom backbone network with Intelispan's PKI management and encryption technologies.

The resulting service offers the following benefits to customers: - Significantly improved two-factor, remote-access network security based on public key technology - Cost-effective, customer-controlled PKI without the significant up-front capital investment typically associated with PKI - Dramatically reduced operational costs as compared to alternative solutions.

The integrated service allows corporations to easily and securely broaden the reach of their Intranets and extranets for the deployment of E-commerce applications.

Intelispan's objective is to greatly reduce the operational, development and capital investment demands for corporations wishing to provide remote access to, and deploy applications over, secure IP-based networks.

''By providing a platform for trusted information exchange, Intelispan will allow corporations to focus their energies and resources on the deployment of E-commerce applications to support their core business, rather than on the development and maintenance of the underlying infrastructure required to support these applications,'' said Peter A. Nelson, Intelispan president and chief executive officer.

Intelispan's PKI will provide a unique platform allowing businesses to meet the growing need to extend the reach of their corporate Intranets and extranets. More importantly, it will do so without compromising the security of their information systems, data and applications.

The resulting network provides all of the managed security and key management benefits of Public Key technology combined with the managed performance and reliability of WorldCom's Tier One private ATM network.

Not a Typical VPN

Intelispan's exSPANd(SM) VPN differs from typical VPN solutions in a number of significant ways. exSPANd is a 'private managed network' separate from the Internet, which minimizes the risk of confidential data (encrypted or otherwise) transversing untrusted servers: an unfortunate hallmark of the Internet.

Unlike the Internet, exSPANd is private, meaning that access is controlled and limited to corporate customers and their communities of interest with no uncontrollable access provided to the general public.

Intelispan Introduces PKI-based Network Authentication Capability First Remote Access IP Network to Authenticate with PKI

SCOTTSDALE, Ariz.--(BUSINESS WIRE)--Sept. 3, 1998--Officials with Intelispan Inc. (OTC BB:IVPN) announced Thursday that the company is conducting alpha-stage testing on remote access IP network logon authentication using Public Key Infrastructure (PKI), which will be available to its customers by the end of 1998.

Once implemented, Intelispan's exSPANd(SM) Virtual Private Network (VPN) will become the first IP network to offer network level authentication using PKI.

PKI, the de facto standard for electronic commerce security, refers to a cryptography technology that uses public and private key pairs for encrypting and decrypting sensitive data. Associated with each user is a public key accessible to everyone and published on a digital certificate, and a private key held only by that individual.

A message encrypted with a user's public key can only be decrypted by that user's private key, and vice versa. PKI provides more than just data privacy; it also ensures data authenticity, integrity and non-repudiation.

''Instead of relying solely upon username and password to access the network, a remote user logs onto the network with username and password and the network will respond with an encrypted challenge that can only be decrypted with the user's private key,'' said Peter A. Nelson, Intelispan president and chief executive. ''Using this implementation, strong network authentication is achieved transparent to the end user, alleviating the most common complaint of most dynamic token-based authentication solutions.''

''We have been working for the last eight months integrating PKI technology into the network servers. We believe our PKI implementation is the first of its kind in the industry, and will allow our customers to establish a robust security framework for many other applications,'' Nelson said.

The exSPANd PKI service will allow the enterprise customer control over the registration policy, issuance, revocation, and maintenance of the digital keys and certificates while Intelispan manages the certificate handling, storage, retrieval, revocation lists and authorization functions.

Intelispan's PKI will provide a foundation for enabling business to business commerce solutions. After accessing the network, the user can be authenticated again at the customer's firewall or application. This infrastructure investment allows Intelispan to become the platform for devices, applications, and individuals that require trusted information exchange.

Intelispan's PKI conforms to the Internet Engineering Task Force (IETF) Security working group's development of Internet Protocol Security (IPSec), the PKIX cross certification efforts, and the ANSI X.509v3 standard.

Intelispan is a Scottsdale based company specializing in secure business communications. Intelispan provides secure remote access to non-Internet based VPN services and enables the rapid deployment of electronic trading communities.

Intelispan Awarded Best of Show at COMDEX 98

SCOTTSDALE, Ariz.--(BUSINESS WIRE)--Sept. 14, 1998--Intelispan Inc. (OTC BB: IVPN - news), an industry pioneer in deploying and managing virtual private networks (VPNs) for enterprise extranets, announced Monday that it has received the Enterprise Excellence Award ''Best of Show'' at COMDEX/Enterprise San Francisco 98, an information technology trade show running through Sept. 11.

The award went to Intelispan for the Company's exSPANd(SM) virtual private network (VPN) and TradeSPAN(TM) electronic data interchange (EDI) services. The Enterprise Excellence Awards, which were announced Sept. 9, were sponsored and presented by PC WEEK magazine to recognize top solutions that best enable corporations to develop, deploy, and maintain mission-critical technologies.

TradeSPAN(TM) integrates a highly secure, fast and scalable EDI solution with Intelispan's secure VPN, exSPANd(SM) -- an IP network that is logically separate from the Internet and its public traffic. This combination provides a secure, reliable and easy-to-manage solution with an easy-to-deploy, cost-efficient and flexible network accessible to trading partners.

''We are very pleased to receive this award, which signals the industry's recognition that our unique technology is the solution of choice in the vast VPN market,'' said Peter A. Nelson, Intelispan chief executive officer. ''I expect Intelispan to reach a significant share of what is predicted to be a $12 billion market by 2001.''

Intelispan Releases a Secure Business to Business Electronic Commerce Solution TradeSPAN Version 2.1

SCOTTSDALE, Ariz.--(BUSINESS WIRE)--Jan. 26, 1999--Officials with Intelispan (OTC BB:IVPN - news) announced today the commercial availability of TradeSPAN(tm) version 2.1, a secure business to business electronic commerce solution.

TradeSPAN v2.1 enables trading communities and business partners to securely exchange business-critical information over Internet Protocol (IP) networks, including the Internet. TradeSPAN v2.1 can be deployed to co-exist with legacy systems without disrupting established communications flows, providing an easy migration path to IP networking from older, non-IP networks.

TradeSPAN v2.1 seamlessly integrates with existing EDI translation packages, allowing companies to migrate EDI transactions off of expensive value-added networks (VANs) and onto economical IP services. By eliminating the traditional kilo-character charges associated with EDI transactions over traditional VANs, TradeSPAN v2.1 can save companies over 60% off of their typical network transport charges. Developed in Java, TradeSPAN v2.1 is platform independent, giving all trading partners the same interface and features, regardless of the different types of operating systems found within the environment. The new economic model of TradeSPAN v2.1 allows the inclusion of low volume trading partners into the trading community by removing the previously unavoidable high costs of implementation and ongoing management and usage.

''The real power of the solution is that it does not require a wholesale change in the way a company and its trading partners currently transact business, but provides a smooth migration path for legacy applications to move over to secure IP networks,'' said Ron Loback, COO of Intelispan. ''Unlike other industry solutions, TradeSPAN v2.1 does not require companies to face the overwhelming prospect of having to totally cut the lifeline to existing VANs while they upgrade their infrastructures to 21st century technology.''

Intelispan offers TradeSPAN v2.1 as either a shrink-wrapped product or as a bundled application with its IP Virtual Private Network (VPN) service, exSPANd(tm). When bundled with exSPANd, trading communities can deploy an unlimited number of TradeSPAN v2.1 clients among all of their trading partners with no up-front investment costs. Intelispan's exSPANd offers secure and economical transport over an IP network separate from the Internet, with over 300 points of presence domestically and 45 countries internationally.

''With the release of TradeSPAN v2.1, Intelispan is positioned to act as a secure IP VAN, facilitating transactions and transporting documents across our network in addition to acting as a gateway for legacy VAN traffic,'' said Loback. ''By eliminating the per-transaction costs, Intelispan can deliver dramatic savings to our customers.''

TradeSPAN v2.1 is positioned to take advantage of the growth in the Electronic Data Interchange (EDI), Enterprise Resource Planning (ERP), and Supply Chain Integration (SCI) marketspace. Certified by CommerceNet, TradeSPAN v2.1 provides Internet EDI (EDIINT) capabilities and is interoperable with other CommerceNet certified products. Additional features now available as part of TradeSPAN v2.1, include support for Secure HyperText Transport Protocol (HTTPS), the ability to communicate with any S/MIME application, and a built-in dialing utility to automatically connect to a service provider.
