Regarding hostile takeover,

1. Could someone please explain how this works? Does a third party acquire 51% or Vivus shares (or some large %? Of outstanding? +float?) that then allows them to dominate the Board and buy us shareholders out for any price they wish...any price??

2. Does not the Vivus anti-takeover provision of the preferred shares rights plan and other things make a hostile takeover very difficult.
