Mike I'm very concerned also about the s-3, but it appears that only one owner is selling. Banca Del Gotttardo appears to be trimming its investment. They are selling 1,904,999 bringing his holdings to 3,530,334 shares, or in % from 23% to 15% of total stock held. several question come to mind does he own it lower and is locking in a profit or is he trimming his losses? How did he get so many shares in the open market? or one of the private preferred deals? Maybe I'm stupid but who is going to buy all this stock? the open market an institution Samuels, Washington Post? I didn't buy this stock to worry about earnings plays but dilution kills alot of deals. This thing has great potential and seems to be on the verge why sell now or is he filing so he can sell later

As of the date of this Prospectus, approximately 189,000 shares of the 5% Exchangeable Preferred Stock remain outstanding and such shares would be convertible into approximately 4.8 million shares of Common Stock if exchanged as of August 7, 1998 Add 3.6 min. options and 1.3 min. pref.A gives us 9.7 min. 9.7 plus 23.6 min. outstanding and Actv is capitalized at 33.3 min. on a fully diluted basis. All shs. are being registered for sale by a foreign bank. Definitely not what you would consider a long term investor or insider. Its looks to be the holding company for the converted preferred. They have apr 5.1 min shs.
