I know you are trying to make a point with this scenario to convince them that they cannot get controlling interest. I agree with you that they will not get controlling interest and I believe it is academic anyway. Ad Hatters and Envirotec should do very well after the spinoff and will have the cashflow to support themselves. The remaining CSMA shouldn't have much overhead associated with it after the spinoff.

That is true, but they are nowhere near using their authorized right now. They could have diluted 10's of millions of shares, RIGHT NOW, without the reverse. They haven't, and most principals are not drawing any salary. The company is not trying to shift money from CSMA shareholders to the company as evidenced by reasonable G & A figures.

The reverse split is not being done to allow dilution to take place. They don't need a reverse to dilute. The company is being split into 3 smaller companies that don't warrant the number of shares outstanding.

I know that your post was to make a point and I understand that. I just want to let everyone know how I view this specific reverse split. I said it before, I don't like reverses, either. Didn't some company just do a 1 for 2000 reverse? In comparison, a 1 for 5 doesn't seem too bad to me.

I am amazed at your Dave Smith??? and this brilliant Steve 1. With all the intelligence locked up in your corner you ought to own and control the world, not just CSMA!
We have plenty of shares to call a meeting and in case you haven't picked it up yet, HK Boner doesn't really care what your opinions are, but the idea of a reverse without shareholder approval and/or a spin off without shareholder approval, will make you and CSMA Management a whole lot smarter for trying.
As for Steve 1 and his usual brilliance, check the corporate by-laws before letting your alligator mouth over run your tadpole behind. What is it with you guys? Haven't you been run over enough? Do you have a "play till you lose all" complex or just why would three sane people defend such outrageous action on the part of this CSMA Management?
In closing, Steve 1, I think you can get a better hold on things by listening and actually paying attention to the facts.
Greg, you forgot to mention in reply # 8946, that in order for your theory to be correct, in my opinion, one would have to include an element of FRAUD in order to issue shares without consideration and especially to insiders or those who can and will be linked to the insiders. Enemies or friends? We have no interest in anything but the good of each and every shareholder of CSMA and whether you or anybody else cares is irrelevant, this is business,
