(NASDAQ:TLAB) said Friday it adjourned its special shareholder meeting on its proposed acquisition of Ciena Corp. (NASDAQ:CIEN) before shareholders voted on the deal. Tellabs said both it and Ciena adjourned special meetings because Ciena received word that AT&T Corp. (NYSE:T) would not evaluate a Ciena product for possible purchase. Both companies said they would reconvene their meetings on September 9. Tellabs spokesman Thomas Scottino said the company was still evaluating the situation. He said at this point he did not know what effect the AT&T development might eventually have on the proposed merger. Asked if the development might be a deal breaker, Scottino said, "I don't know at this point. We're trying to evaluate everything. Everything is happening very fast." "Both companies thought the best thing to do was adjourn until September 9," he added. "People were very interested in the potential business with AT&T -- they were potentially a very large customer." Ciena, which like Tellabs provides telecommunications equipment, said it was informed Friday morning that AT&T would not pursue further evaluation of its dense wavelength division multiplexing (DWDM) systems. DWDM multiplies the capacity of existing fiber optic phone networks. In June, Tellabs agreed to buy Linthicum, Maryland-based Ciena in a stock swap then valued at $7.1 billion. Each Ciena share was to be exchanged for one share of Tellabs. Last week Ciena warned it would significantly miss third quarter earnings estimates because of a delay in a $25 million order, sending both stocks tumbling. At the time, Tellabs said the acquisition deal was intact and would not be repriced.
