Why Incorporate in Nevada


Did you know that the majority of the penny stock scams are incorporated in Nevada for those reasons?

Nev. Rev. Stat. Ann. sec. 78.207 allows the Board to increase or decrease the authorized shares without shareholder approval unless it affects rights or preferences of a class or series of stock--then a majority of those affected shareholders must approve. I going from memory--but I think that is it.

I work in a law firm--if we do not incorporate in Fla--it is either Nevada or Delaware, this includes partnerships and LLC. It is very typical.

I would venture a guess that any increase of shares is for M&As--which does not cause shareholder dilution as there is value with the acquisition. Most M&As are good--it is a sign of growth and change.

The next call to MS--find out if there are any preferred stock or other classes.
