You know, I still wish the SEC would allow companies to use different language.
This "selling shareholders" terminology is extremely deceptive.

I think they should use the wording "receiving shareholders" and then add a footnote of "who may sell from time to time according to the effective dates mentioned in the document"

Oh well, that's the way they've all been worded for every company since day one.

The amount of misinformation on this thread continues to amaze me. I have not sold or hedged a single share that I received and do not plan to do so anytime in the near future. The S-3 merely registers the shares but, as becomes clearer in the footnotes, a significant portion of the shares may not be sold for quite some time (e.g., the investment by the Chairman's fund must be held for 1 year -- that's close to 1 million shares). My confidence in RACE has never been higher.
