Department of Justice Clears Alcatel/DSC Merger

PARIS, and DALLAS, Sept. 4 /PRNewswire/ -- Alcatel (NYSE:ALA) and DSC
Communications Corporation (NASDAQ:DIGI) have been notified by the Antitrust
Division of the Department of Justice (DOJ) that it has completed its review
of the pending agreement of Alcatel to acquire DSC and has terminated the
waiting period under the Hart-Scott-Rodino Antitrust Act with no additional
actions required from Alcatel or DSC.
As announced on June 4, 1998, Alcatel and DSC entered into a definitive
agreement under which Alcatel will acquire DSC in a stock-for-stock
transaction. Both companies' boards of directors unanimously approved the
acquisition and DSC shareholders approved the agreement at its August 27, 1998
special meeting. The closing of the deal is anticipated to be completed
promptly.
DSC has redeemed all of the preferred stock purchase rights issued to
holders of DSC common stock at the redemption price of $0.01 per right,
payable in cash.
