Marshall:

A few things from the Proxy stand out.....

* Asking to increase authorized shares to 100,000,000, making room for more dilutive financings no doubt.

* Barker got a raise in '98 (too funny.)

* Several of the execs took advantage of an option repricing in April '98 and now hold paper struck below $2.

I notice that our "leader" is not listed as receiving a bonus in 1997 or 1998. Also noticed that Mr. Bennett did receive a bonus in "98. Anyone know what for??? (Not trying to stir things up - just wondering) Rich
