Yes, I'd forgotten that you reported the above. Sorry. However, Uselton was claiming all along that he held the proxy.

If Tow can vote the shares, and if there are only 89 million outstanding, then he has effective voting control. Given the circumstances (no board, SEC inquiry), he should be able to ask for / call an emergency shareholder meeting and elect whomever he sees fit to run the the company.

If control is assumed, the "company" can go after the guilty parties. Given the shielding that Nevada corporate law provides, it would be better if legal action is conducted through the company rather than by a shareholder group.

A lot of ifs in there. I see three critical questions to be resolved. (1) Is Tow truly on the your side; (2) Can he vote the shares and (3) are there only 89 million outstanding? I ask question one because I would expect a supposedly sophisticated businessperson to know automatically whether he can vote his shares. If Mr. Tow is an aggrieved party and if he can vote the shares, I would have expected him to move swiftly to gain control. Recision of the contract would be a better course for Tow -- because he suffers no dilution. I guess that's question 4. Is Tow currently taking legal action to rescind the contract due to fraud?

Yes Moneybaggs, I'm outraged. Until I read all your posts re: your conversation with Marc Tow, 1% of me thought that maybe Jack U. was a victim also and that things got out of control and he didn't know how or was afraid to correct them (e.g. the scam PR).

I talked to Jack several times on the phone and in retrospect, I should have been more alarmed by his good old boy "I'm gonna build a billion dollar company" attitude. The way he spoke to me should have triggered some doubts, but I was too caught up in the mania of the whole thing.

Great work in all this.
