For anyone who's still interested, here's the account I have of how the reverse merger with ICVI was set up:

Christensen was supposed to issue 50 million shares and give them to Tow for the land. AND he was also supposed to sell additional shares and give the proceeds to Jack to use in starting up the business. He did so, delivering these shares to Guttman, who sold them and sent the money to Jack. WHAT HAPPENED TO THIS MONEY? Jack may have used some of it for operating expenses, but what about the rest? I don't know exactly how much stock was involved, but apparently it wasn't actually as much as the 19 million shares that Jack later claimed Christensen had issued "illegally". Christensen's compensation for the sale of the shell was 10 million shares, which of course were restricted and are now pretty much worthless.
