I think there are some precedents for shareholder revolts: BT shareholders nixed the BT-MCI merger. Although it never came to a vote, management could read the writing on the wall and basically pulled the plug by lowering their bid for MCI to a level where they knew it would not be accepted by MCI.

I personally think this is still a good fit between TLAB and CIEN and I will vote my shares for the merger (I currently am long in both). The revised TLAB bid was reasonable in light of the changes in CIEN's prospects. What is amazing to me is how far ahead CIEN's technology remains over its competitors. CIEN has a 40 channel DWDM system that can be bought right now. The only one that is close is LU at 16 channels, and the others out there, Nortel, etc. are struggling to put out 4 channel systems--which is the equivalent of a chip maker that is still figuring out how to make a 486 chip. DWDM is essentially an internet company. As more and more data goes on the telephone lines, there is no way that companies like CSCO and CIEN will not benefit. Granted, there will be severe bumps along the way, but I'm sanguine about the future. Increased my holdings in CIEN today at 29.

that's affirmative. according to the (numerous) 8-k's filed with the sec, CIEN would have to fork over a cool $200 mil if they walk away. TLAB, as parent, ponies up $100 mil should they balk.
