Mr. Rafferty is a proven software industry veteran with multiple software ventures and innovative products to his credit. He will become a key member of Totally Hip's software engineering team and the Company plans to introduce these new Windows products over the next year on both the Windows and Apple Macintosh platforms for maximum market penetration. Mr. Rafferty was the founder, Chairman and visionary of Cricket Software, makers of the popular Cricket line of software products including CricketGraph, CricketDraw, CricketPresents, CricketPaint, Cricket Expression, StatWorks, and the Computer to Slides technology used by Cricket Presents which was later used in (Aldus) Adobe Persuasion. Cricket Software was acquired by Computer Associates in 1989 and at that time had over 50 engineers working on Macintosh and Windows products. He later founded Commotion where he developed software only compression/decompression technology that was sold to Microsoft, Silicon Graphics and Media Vision. The Microsoft version became Microsoft Video 1 Codec in the first release of Video for Windows. He was also a co-founder and VP of Software Engineering at C-Cube Microsystems Inc. [Nasdaq:CUBE - news] where he was responsible for the software development team that engineered the software implementation of the JPEG algorithm. He was instrumental in getting Adobe to adopt JPEG in PostScript Level II. At this time, Totally Hip's management and directors will disclose that the cost of this acquisition will be for a combination of free trading and escrow common shares, with the majority held in escrow under the same performance terms as the original co-founders. The Company and James Rafferty have signed a letter of intent and will finalize the acquisition details and obtain the required regulatory approval to complete this transaction by the end of October. At this time, the Company will not disclose certain details of the products and technologies for confidential and competitive reasons and terms of the deal will be disclosed to shareholders when all regulatory approvals have been granted.
