<<Next off, the Q is spinning off one of their divisions, would someone give me an executive summary as to what it is?>>

If I may tag a question on to yours, Dave, and maybe it will come in the same answer.

I've seen this question posted several times but have not seen an answer (maybe I missed it): What is the relative value of the spin-off to Qcom; by what amount would the price of the Q be expected to drop (roughly) ex the spin-off? Thanks.

There are no minimums, but you have to make a certain amount of trades per month. As for Phillips I have no idea what your talking about. The Q is spinning off many capital intensive Infastructure Business's. The new company will be called Leap. each shareholder will get 1 share per 4 of Q com. i think ex divided is sep 15.

Basically the deal with the spin off is the following:

To get a good infrastructure business going and to help the spread of CDMA world wide QCOM made some investments in operating companies (Pegaso, Nextwave, OZ phone). These companies are the ones that actually operate the base stations and you sign contracts with for service (akin to Airtouch or Sprint). Management said that they felt these assets were being undervalued because people could not quite grok their entire impact on QCOM as a whole. They also said that it wasn't too smart to be competing with the people that you are trying to sell infrastructure to. So they decided to spin them off into a company currently called LEAP. for every 4 QCOM shares you get 1 share of LEAP when it spins. This is a taxable event.
