POSSIBLE ADVERSE EFFECTS OF OUTSTANDING WARRANTS AND OPTIONS

The Company has outstanding warrants to purchase 6,400,000 shares of its common stock which have exercise prices below the current market price of the common stock. The exercise of these warrants and resale of the underlying shares could adversely affect the market price of the Company's common stock. At June 30, 1998 the Company had 14,272,848 outstanding exercisable options to purchase common stock issued pursuant to employee stock plans which could have exercise prices below the current market price of the common stock. The exercise of such stock options and sale of a significant number of the underlying shares could adversely affect the market price of the Company's common stock.
