K7 is a 32-bit CPU, good enough to be the fastest 32-bit CPU running X86 codes. Merced is a 64-bit CPU. SUNW already has a 64-bit CPU but it doesn't run Windows. AMD has the know how to make a CPU runs Windows. Partnership makes perfect sense.
