Zero growth.

Unhappy subscriber base.

Enormous competitive pressure.

Lousy fnancials.

Fraudulent stock promotion: company claimed to have turned down an "unsolicited bid" of 36 to 41 a share earlier this year. A few months later they claim that they are shopping the company after the stock sells off from the high 30s. The mystery bid does not rematerialize.

Odd accounting practices.

Outdated technology in a world wired for the internet.
