Ciena adopted Shareholder Rights Plan in May. The rights kick in if any entity buys more than 15% of the shares. So a hostile takeover will be prohibitively costly to the suitor.

I think the point that pissed key people, for example from R&D at CIEN, might walk away after a unfriendly takeover is valid. CIEN seems more of a technology co. than a marketing wizzard at this time, so I think it's rather important that these key people stay on after the merger.
