*AV* -- I would say we have an issue here. I thought it was going to be resoundingly defeated anyway. I never vote for stock for management if the employees are not involved.

One bright side to this, they must feel the stock must be worth it to try to do this. They may be greedy as was stated but they have placed their greed in stock which they must beleive will satidfy that greed. So, they are bastids, but they have indicated there is life in that stock.

Not much of a highlight but I do believe ASYT will fare well once the recovery occurs within the sector.

Now for the negative side. They (investors) must be taken for stupid if they believe ASYT needs this to retain management. First, it never worked in the past since they did have a revolving door a few years ago. Second, and most importantly, there are so many unemployed technology managers, engineers, and manufacturing types, that replacing the greedy bastids would be a piece of cake. We are not in an employee market right now but rather an employer market. More than 40,000 jobs have been trimmed so far from the rank and file. I wouldn't be trying to retain employees right now anyway. I would be taking a firmer hand to the company and if the managment didn't like it, I would use it as a time to purge the old and bring in the more hungry candidates. Let the bastids leave. Believe me, it didn't hurt ASYT the last time they had turnover in management and it actually helped them. There is plenty of talent out there for the taking, myself included.

I would do it for less and with less incentives now. My incentives would be paid out down the road. Little known fact, the Board of Directors can issue options at any price they desire. So issue those options AFTER the performance is demonstrated such that it is in their best interests to keep up shareholder value for the option period they now were given. Pay for perfromance should be AFTER the performance is demonstrated. The Pay should also be metered out over time to SUSTAIN the perfromance.

OK, off the soapbox. I say these words in the name of the countless Engineers and Manufacturing Associates who lost their jobs because the ignorant fat bastid managers were too busy counting their money, perks, bonuses, getting thenmselves golden parachutes or handcuffs, etc., and either being incompetent, misinforming or lying to the totally clueless upper managment, instead of doing their jobs. Then again, the VPs and higher chose to be deaf, dumb, and blind to what was going on. Put a hungry man into the job and he will work himself to death to keep the job. Put a fat bastid political jackass in the job and his ego is big enough to think he is not only irreplaceable but that his services are highly sought after. This complacency breeds brain dead management who guide the company to ruins or into bad situations.

*AV*--I am reminded of the post you sent me referenced above in parentheses. Interesting that the proposal gets adjourned and they didn't get the stock options, I think. Stock is up dramatically and now there is word that there are some nice retrofit programs that are looking positive for them. Boy, I hope they didn't get their shares. It would be nice to see the little guys prevail and a lesson learned.
Pay for performance, after the fact.

Funny, that is just like a newsletter I know is trying to do<GGG>.

Message 5740557 This is an interesting post that is exactly 2 months old. A random strong set of comments that reaped some nice rewards recently. I have no idea of the price at the time but I would gather we are looking at nice gains.

So, instead of me dredging up the past here as I look for the back issues, ANYONE know where they are??? The more I look, the more timely info that pops up. And if you think I will highlight any SUBARs along the way, well, my momma didn't raise no "ignurunt" kids.<GGG>
