so it appears that DGIV did do its part in terms of attempting to complete the sb10. However, it is the SEC/SEC lawyers who have delayed the official filing by demanding more modifications?

Lately Roger has been writing up the PR's and having them screened thru the lawyers.

Resulting in statements like: "In addition, Digitcom makes no assurance that it will be able to meet the financial and other requirements established by NASDAQ for listing on the NASDAQ market system."

Now, this is obviously a true statement, but does it seem superfluous to anyone? I don't recall Digitcom claiming that they either meet or do not meet these requirements -- in fact, we know that they don't currently meet the minimum $4 bid. I thought the idea of filing an SB10 was to become fully reporting, which is the first thing that has to happen for NAZ, but far from the last. There are many BB companies that are fully reporting, but not NAZ, and that is all I was looking for at this time. As I have said, I doubt if DGIV or any other high tech company will ever go NAZ without a buyout.

So why would DGIV's counsel add a statement like that? I guess the lawyers are now in charge of this company, maybe "charge" in more ways than one, I don't know.

I am half expecting the next news release to be a clarification from the lawyers saying that Digitcom is going the the trade show in New York, but they can make no assurances that the plane will not crash on its way there, or that the trade show will actually happen, since the conference center might have its lights go out. I mean, let's cover all bases...

I don't know who is wrong, You or Cheryl. I talked to the SEC yesterday for quite some time. I talked to the Electronic Filing Division, Filing Help, Consumer Affairs, SEC Legal Division Atty: Bill ########, All of this was to find the answer to one question, "Is there anything on the face of the earth, that would make the SEC, not accept (kick back), a voluntary 10SB from a non-reporting company, who has not submitted for Naz listing yet?

Answer: Filing of a 10SB from a company with less than 500 shareholders, "AND", less than 10 Million in tangible assets is considered voluntary, as they are not "required" to report to the SEC.
Voluntary filings are never rejected by the SEC, upon review however, the SEC does send out a letter requesting the company voluntaraley(sp) remove said filings before they become "AUTOMATICLY" accepted after the 60 day waiting period from the date of filing. The SEC only sends these letters when they find a filing to be "Materially Defishant(sp) (lacking in substance) in one or more area's. It is then up to the company, to pull the filing or not.

I believe in this case, it is the lawyers that DGIV hired to help with the filing, that are holding things up, NOT THE SEC...

As has been stated before, the 10SB is not the final end all for our company. The 10SB is not why I bought in the first place. The years 2000, 2005, 2010, that is why I bought, for where they are going. The 10SB will only tell where they have been and point to where they plan to go. Well, I have been there with them so I don't need to know where they have been, and I can see where they plan to go and don't need to be reminded. Yes, I am as disappointed as everyone else about the price, But you know, the company is the last ones on the earth that control the price of there own stock, so I do not blame the company and just cannot understand why everyone else is!

I have left a message on Mr. Templetons voice mail and hope for a call back to try and verify my thoughts. If and when I do get a call I will write again..
