Interesting termination provision. I direct your attention to provision (ii). -------------------- ARTICLE VI TERMINATION 6.01 Termination. Unless otherwise agreed to by the parties, either party hereto may terminate this Agreement upon ten (10) days written notice if: (i) approval of the stockholders of ENHANCED for the conversion of the 1998 Preferred and 1998(B) Preferred is not obtained by ENHANCED on or prior to December 30, 1998; (ii) a lawsuit is filed seeking to enjoin the parties from completing the Exchange; or (iii) a registration statement does not become effective with the SEC on or prior to January 31, 1999.
