Paul,

Even though we have not gotten along in the past, let me explain something I have some insight to. The SEC won't just come out and say hey CSMA were looking at you, and you can't do this... they generally (and I don't even know if legally) they can do this. They honestly don't do anything for shareholders. Really they might tell you to get private counsel or something, but truely, I doubt that you or I would ever hear anything more then... We have received your case, and as you know we can't tell you what to do... yada yada yada.

You see this as a reverse, I see this as the creation of worthy stand-alone companies. In his letter for shareholders, Mr. Elrod discussed his reasons for spinning off the two subsidiaries, and they seemed very sound to me.

I don't have CSMA's bylaws handy, Paul...could you please quote chapter and verse where shareholder approval is needed for this operation? Usually, small companies leave outs in their bylaws so that they can do these sort of thing unilaterally.

And to say CSMA is "nothing" is not polite, Paul. Hamlin's golfing buddy "Swede" will be out there sniffing out oil and gas propeties just ripe for exploitation. And if you think energy prices are going to stay this low...well, it's gonna be a long, cold winter, Paul, and didn't you just read where U.S. oil reserves are at a five-year low?
