Jud,

reverse split was done on 6/18/98.
Keep in mind that also the shares own by the management were affected by the reverse split.

This show the high integrity of Jack and Mikey, in my opinion.

Jud,

here is more. Before the RS, 35.000.000 authorize shares.
Jack and Mikey have control of the company with 51%, that's about 18.000.000 shares, the other 17.000.000 owned by investors. Let's assume were not any treasury shares.
Then the RS 12 by 1.
Now Jack and Mikey own 1.500.000 shares.
Shareholders own 1.416.666 shares.
All the others shares about 32.000.000 go back to the company and become TREASURY SHARES.
Now, read the June 17 PR: "The split also facilitates the finalization of the February and March acquisitions and will hasten our intent to become a reporting company and to obtain a listing on the Nasdaq Small Cap".

With part of those 32.000.000 BNEZ paid for those two acquisitions(please, keep in mind that this is only my personal opinion).
Let's say those shares can't be sold for one or two years. So they, with the help of one Market Maker start to sell SHORT in order to get cash and because they have the shares already, don't care about the price of the share in six month, a year or whatever.
That MM will be Frankel, they only sell, sell and sell. Never are on the bid side.

A MM can be at the ask side, bid side or both.
If is on the ask side, anytime we buy and he sell, he also is suppose to buy from another MM's or from his own inventory if he is also on the Bid side.

Now remember, shares paid for the new companies are part of the
outstanding shares and not part of the float.

Shares owned by shareholders and insiders are part of the float. I think about 3.000.000 legal shares in the float.

On Aug 28, by fax company told me THERE ARE NO SALES OF TREASURY SHARES.

MAYBE FEW SHARES ARE TRADED DAILY BY LONGS on this thread.
Everything else is been traded SHORT no shares to be delivered if we ask for our certificates.
When those shares can be sold in the open market?
It's a perfect plan for those who own those shares. Get cash now and no need to worry if the share's price will be fifty cents or fifty dollars. They own the shares anyway.

That's why, in my opinion, the share is not worth several dollars right now. MILLIONS OF SHORT SHARES ARE ON THE FLOAT.

We need the SEC investigation. We need to stop this short selling.
If we succeed in the next RALLY will be no SHORT SELL and the MM's will get nuts buying OUR SHARES.

How sound my theory?
COMMENTS PLEASE?

Elio
