The 424b3 is an amendment to the S-3 filed on 6/26/98 by the stakeholders of Ridge Technologies, which Adaptec acquired and paid for in stock. The S-3 (and the subsequent amendment) were filed as required by Securities Regulations to "register" the shares and indicate the proposed disposition of the shares. In this case, the S-3 is indicating the holders may/will offer their shares for sale, in a "delayed or continuous basis", in standard NASDAQ OTC transactions. This is boilerplate permitting the Ridge people to sell their newly-issued ADPT shares at their discretion.
