WJL,
For sure I don't know if Joe will proceed with the closing of the LOCUS acquisition. I do know that when he made his first overture toward them he had absolutely no idea the potential of EDGE. Donnie Gross is moving at an unbelievable pace in signing big contracts. When Joe was posting on SI over a year ago he stated on numerous occasions that the company's number one objective was to generate $100 million of revenues so he could sell the company for $10.00 a share. DCI has reached and exceeded the $100 million but they also have a lot more shares outstanding, about 21 million. In several conversations with him he has repeatedly mentioned he is looking at ways to reduce the number of shares outstanding to insure a $10.00 or more price at sale. I believe the bankers and other advisors he is currently talking with have advised him of several things. Number one is that with the acquisition of LOCUS, DCI will take on the image of a prepaid phone card company and not a telecommunications company. Number two is if he still persists with the acquisition, change the contract to an all cash deal if at all possible.

As far has the company having a full plate, my reading is this. IMO the company is exploring all avenues to get the most out of CyberFax. The number of people and time spent on this project has increased dramatically over the last 45 days. The DataWave JV is being revamped and reorganized to bring a lot more to the bottom line. Equipment is being moved and people are being replaced in Canada. The company is looking for major financing to be able to acquire LOCUS for cash and expand the DCITE joint venture beyond what even our hyper minds would believe. The EDGE division is growing so fast that it requires a lot more strategic planning than just 60 days ago. Because the company is growing so fast its resources are being stretched about as far as they can go. Joe has simply got to digest what he has before another major acquisition.

I believe we could very well hear about another large EDGE contract in the next 30 days. I expect that when the revenues for the last quarter are announced later this month they will be greater than projected. I really believe we have a very good chance of reporting positive earnings from continued operations in the current quarter.

I probably have gone overboard in answering your question so I hope one of the answers you were looking for is in here somewhere.

Best Regards
