Note that the deal only includes the network management part of Seagate Software.

<<''Seagate Technology has entered into an OEM and joint development agreement with the new merged company in order to leverage and
license technology that can be utilized with our storage devices and delivered to our existing OEM, VAR and systems integrator customer
base,'' said Steve Luczo, Seagate Technology's president and chief executive officer. ''This merger represents an acceleration of our strategy
to participate with leadership products in the market for scalable storage management software solutions. In addition, we remain
committed to the business intelligence market through our ownership of Seagate Software, Inc.'s Information Management Group which
generated $118 million in revenue during fiscal year 1998.'' >>

I would imagine that they are looking for a buyer of that part of the business as well. Software companies of that size tend not to survive very well.
