FINALLY SOME NEWS...

I talked to Mike Baer and he didn't know a reason for the big selloff and "nothing had changed since he talked to me three weeks ago".

Well, I guess persistance pays off. I called the PR contact and he was VERY helpful.

His name is Robert Ferri, who is the PR person for ISV. I talked to him earlier today and he gave me some background on the deals and then called me back after a meeting with ISV (from his car phone, no less...) to update me.

I actually got more info from him than from ISV in the last six months, not to mention Murphy, whose update tonight simply reiterated that a deal had to happen soon. I had emailed Murphy to ask if he had talked recently to ISV management, and he responded on his hotline tonight that he gets his info on ISV from other channels.

Well he should have saved himself some time and talked to Rob Ferri of Core (?) Communications.

In my initial conversation, Rob said:

1) They tracked the huge drop yesterday to a large mutual fund selling their holdings, probably for tax purposes since tax losses must be booked by 10/31/98.

2) The company is viable ("forever") and will not go out of business. It is their last choice and the "least desirable", but if they wanted to they could raise a private placement (dilutive to the shareholders) in a single phone call.

2) He stated that ISV (for obvious reasons) has been very attractive to lots of companies but that the mating dance has been in large part with one serious suitor.

3) Regarding the deals. Apparently there is a deal is almost done. Now before you start throwing tomatoes... I asked him to detail it. Turns out he's talking about ISV 205! When I asked him about the diagnostic kit deal, he said that both deals could happen simultaneously, but probably ISV 205 would happen just after the deal for the diagnostic kit. Sounds like he was thinking that since the kit didn't need FDA approval, it would obviously be done soon. Oh yeah, obvious to him. Both deals are clearly with the same company.

4) the deal with 205 consists of a considerable upfront payment to the company followed by royalty payments or milestones...

5) The deal with the kit is such...the kit costs $100-$150, Univ. of CA gets some revenues since they (have the patent?discovered the gene? I'm not sure, I'd have to go back in time...) but the percentage to ISV would be very healthy. The sales of the diagnostic kit is expected to bring significant revenues to ISV, and the company should "approach profitability in 1999".

BEST NEWS FOR LAST.

He calls me back. Just met with the company. They expect to have another go around on the diagnostic kit discussion on Monday. They are in the final point-counterpoint stages. Should be finished on Tuesday. Have set up a meeting on Wednesday with their PR firm and Rob said they expect to have a "meaningful conversation" with them at that time. He did say nothing was for sure but I pressed him and he said that he's hopeful that he will have definitive news, a signed deal or a "letter of intent" etc....

Okay, I've got writer's cramp. But hey, this guy was a talker...

So here's how it goes. Intel has a great earnings report on Tueday and on Thursday ISV announces a deal (better yet, both deals!) and our sell orders at $6 go unheeded because the stock opens at $8.
