I guess this is why DWRX closed down nearly 20% today. Platinum Software Corp (PSQL) closed at 5 15/16, down 2 3/16. DWRX closed at 4 5/16, down 1 1/16. Strange, but sometimes investors lose money on a merger.

IRVINE, Calif., Oct. 13 (Reuters) - Platinum Software Corp and DataWorks Corp on Tuesday said they have signed a definitive merger pact creating a company with greater visibility in enterprise resource planning (ERP) products.

Under terms the deal, Platinum will issue .794 of a share of its stock for each DataWorks share outstanding. DataWorks will be a wholly owned unit of Platinum, and headquarters will be based at Platinum's home in Irvine, California.
