Vancouver, British Columbia, Canada, October 20, 1998 –Net Nanny Software International Inc. (NNS.V, NNSWF) (the "Company"), is pleased to announce the appointment of Mr. Clive de Larrabeiti as a Director and Vice President, Corporate Finance. Based in Europe, Mr. de Larrabeiti has worked within the securities and financial industry since 1980, primarily as a stockbroker with a number of Canadian based securities firms. He has been employed as a consultant to Net Nanny since 1994 and has been instrumental in assisting the Company to raise the funds necessary for product development and marketing.

The Company is also pleased to announce the appointment of Mr. David R. Lewis, B. Eng., C.A., the Chief Financial Officer, as a Director and Secretary of the Company. Mr. Lewis qualified as a Chartered Accountant with Coopers & Lybrand in Toronto and has since held the position of CFO, Secretary, Director and other senior financial positions in a number of technology-driven companies over the past twenty-five years. He has an extensive background in the design and implementation of practical, financial, and productivity solutions to control the financial operations of the Company.

Joan Campbell has resigned as a Director and Officer of the Company, effective immediately. Management wish to thank Ms. Campbell for her dedication during her tenure.

The Company also announces the granting of an aggregate 5,000 common stock options to an employee, pursuant to an Incentive Stock Option Plan ("the Plan"), at an exercise price of $0.55 per share. The Plan was approved by the Vancouver Stock Exchange on June 3, 1998 and approved by the shareholders at the 1998 Annual General Meeting held on October 15, 1998. These options are exercisable pursuant to the terms of the Plan, for a period of five (5) years to expire on October 20, 2003.
