That's what I understood. Each share will be converted to .37 of the market value of the other share when it occurs early next year. It's not fixed at $28.

John - re: HBOC conversion value

It does create some interesting situations. For example, based on todays close (MCK 70.5625), HBOC would be valued at 26.1, yet it closed at 23.5625. If MCK holds up, might be some possibilities for a quick trip. Any thoughts?
