I received a PM from Moneybaggs. I thank him for sending it to me. It seems that one of the reasons the stock price may be falling is because there is some naive investors spreading misinformation in regards to HMLF. I did some research today of the concerns that were addressed in this PM to me. Basically the concern and garbage being spread about HMLF is that 10Million shares plus convertibles will be dumped into the float...so WATCH OUT!

Someone is misinforming and misinterpreting information!!
Yes, the SB-2 included a shelf registration of 10M shares, but it has not and WILL NOT be issued anytime soon. The purpose of this registration is for future acquisitions. The stock must be registered for acquisitions--which will never take place at the low levels the stock is currently trading at. Yeah, maybe if the stock gets to $4-$5 the stock will be used for acquisition purposes (ONLY!) At these levels, using stock for acquistions is pointless!

In respect to the convertibles--The majority is owned by Andrew Cimerman. Duhhhh, he's not selling.

The request for shelf registration was only done as a forward thinking measure...it provides an opportunity in the future to make acquisitions with stock. It's an anticipated need and one that CAN ONLY be done with a Prospectus Supplement being filed with the SEC which outlines the purpose for the issued stock. Shelf registration is WAY different than an offering or issuing of stock. Believe me, we will all know when these shares or any part of them are used---HMLF must file with the SCE to issue them.

I think it's a good thing. They are continuing to anticipate growth.

Always check out the facts!! Interpretation and Misunderstanding of a complicated document, such as the SB2 can drive a person to make a wrong decision. Someone is misinforming and misinterpreting information!!

This company intends to grow & intends for their stock to go up invalue--What other reasons would explain a registration of 10Million shares?? They intend to expand through acquisitions and franchises and well as see the stock recover from these low levels.
