in talking to the company a couple of weeks ago, I gleaned the following:

1) Sutro is setting up a private placement of FNET preferred stock. The conversion of these shares will be at a FIXED price, which will thus have a relatively small impact on the share price. There should be little or no impact on the FTEL share price, only on that of FNET, and of course only after FNET start trading.

2) FNET owes FTEL mucho dinero; so although the bulk of the PP will go towards new JVs, more countries, other DVG sites, etc, FNET will be paying FTEL for what it owes to date, plus placing whacking big orders for DVGs. FTEL won't need a PP.

I've been playing with some spreadsheets, and feel the FNET business plan is spot on. If they really had to, they could slip into the black in just a few months even WITHOUT the PP - but at the expense of sacrificing expansion and future earnings.

With my model, beyond about 40 foreign DVG sites expansion and cash flow go ballistic. Plowing cash back into the business is the way to go.

With the FNET PP, this process gets a huge kick in the rear, and FNET gets a super shot at the brass ring.

VS I did not see a reply to my post to you. Why?

What are your ideas other than PP for a growing micro cap company to raise funds?

Is Ftel losing money or are they spending more on expansion?

In your so called expert opinion what is the cause of the larger operational expense that will show in this statement?

Seth, I understand what you are saying. I would not put all companies who try to raise capital in the same class as I would FTEL. However, as I said before, one needs to consider the company's past. Have their past target dates been reliable? Have the past press releases been misleading or just inaccurate as demonstrated by the performance of the company at a later date?

Yes, to answer your question directly, large loses can proceed profits. In the case of FTEL, I don't believe the profits will come. If they do, it will be more a one-time event from an extra-ordinary accounting entry than from an operational gain, IMO. I base this, in large part, because of FTEL's history.

You have referred to me as an "expert" several times. I thank you for your confidence in my words, but I do not claim to be an expert. I am a lay stock picker and investor and offer my amateur opinions and thoughts.

I noticed that you believe profits will come by June 30, 1998. I hope you are right- although this carrot has been constantly put off. You'll have to excuse me if I and many others don't consider the bulls, or the company's word, credible.

As William said, what ever happened to the DVG demos from 12-97?

What happened to the ill-fated Intrine order?
