NEW PATENT

United States Patent 5,834,136
Gao, et. al. Nov. 10, 1998

Method of preparing polymeric electrolytes

Abstract

A method of fabricating polymeric matrices suitable for use in non-aqueous electrochemical cells is provided. The method includes forming an organic emulsion comprising an organic solvent and having a polar phase comprising polar polymer precursors and a non-polar phase comprising non-polar polymer precursors wherein the polar phase is substantially immiscible in the non-polar phase, said emulsion further including an effective amount of surfactant to maintain said emulsion;
and initiating polymerization of said polar polymer precursors to form first polymers and of said non-polar polymer precursors to form second polymers wherein said first polymers are crosslinked by said second polymers to form a polymeric matrix. The polymeric matrix will have superior physical strength and puncture resistance.

Vis CC: moments later & without much reflection:

My initial reaction to the CC is generally positive. Lev played it close to the chest as usual, but his tone was one of confidence that all was on track.

One bit of odd evidence for his confidence was his lack of familiarity with the details of the 7/27 convertible preferred financing. It was a little disturbing to hear him (and his chief accountant) fumbling for the details of the variable price conversion provisions and the Jan 27th requirements, but the positive slant on this is that he must not be too worried. Indeed, he didn't seem too worried about cash, burn rates, negative working capital, etc. I presume he has substantive grounds for not being too worried.

The only clear disappointment was that the product off the small cell line did not pass its test requirements in Sept. I gather he expects all this to be resolved by early December, though.

All in all, the cc reinforced my confidence in Valence. I wouldn't be surprised to see a bit of profit-taking now, though. The situation for the next several months seems tailor-made for nimble traders.

As we expected Lev was rather closed-lipped.
They expect to receive the cell phone line
soon - next week, i think, and have it running
about a week after that.

I asked Lev if he was comfortable that they
would have PO by 1/27 and he said he could
not comment on contract possibilities in a CC
Any material announcement MUST be made public in a
press release.

But (in my opinion) he ended the call with a nod
and a wink, saying that he hoped to be able to
'talk with us again soon under different circumstances'.
That sounded golden to these ears!

They have invited analysts over there for the first
week in December 'to meet the management team'.
Draw your own conclusions.

Conference call synopsis: Okay folks, it started with the FRB announcing L.D. as the spokesperson. He was speaking from N.I., although it was unclear whether he was speaking from the facility itself. He started with the usual forward looking statements disclaimer, touched VERY briefly on the earnings statements. He stated the batteries are going down the large line. Those batteries are under test and have been for some time. The small battery line was delayed, and is currently under acceptance testing. If all goes well acceptance should occur by next week. The small line should be producing by the 1st of December, barring any difficulties of course. He then launched into questions, which follow:

1. Could he share his thoughts about Bert Roberts joining the board? L.D. - His experience in bringing a small company up to a large scale should be invaluable for VLNC. B.R.'s advice is clearly welcomed and they anticipate he'll be "very active" on the board.

2. Are analysts visits scheduled to tour N.I.? L.D. - Yes, the date is 12/03/98.

3. How does the battery quarantine period work? L.D. - Batteries are taken from the production line, conditioned, degassed and then quarantined for 30 days to check for potential problems. After this OEM's get to test them. OEM testing procedures, timeframes etc., are an individual case basis which varies greatly from OEM to OEM, so it's hard to say how long they take to determine product efficacy(my words).

4. A question about industrial product safety standardsand how this might impact VLNC's product rollout. L.D. - Depends on the OEM's who usually do this in parallel with VLNC's process.

5. A question regarding the next CFO. L.D. - That's a "digital" sort of thing(meaning yes/no of candidate & company?). They expect to have one soon.

6. A question about if VLNC is still targeting notebooks first, followed by cellphones? L.D. - Yes, they're still sending to notebook manufacturers and expect them first but the small line(s) will be sending samples to cellphone providers too.

7. Are manufacturers varying the recharge cycle rate to determine the negative/positive impact to VLNC's product? L.D. They have varied the recharge rate by ~2x the normal rate and the cycle life is "as good if not better."

8. What will be the pricing of the cells? L.D. - the 4x4 will be priced approx. the same as prismatic cells currently provided by Asian manufacturers. To give an idea, however, VLNC's cost to produce this 4x4 is LOWER than prismatic costs..

Felt the CC was one of the best, mostly due to the solid feeling of confidence from Lev. Nothing much was said that's really new: everything seems to be on target, a new CFO will be found, schedules will be met, and our new board member, according to Lev, intends to be pro-active, not just rubber-stamping (my words) -- the inference being that new frontiers and international expansion are on a front burner. Feeling I got from Lev is that there are no unanticipated mechanical pitfalls. In sum, there was no flash to the CC, just on-the-level exchanges with him from NI. Wolanchuk called in and told Lev that the chart looks fabulous and that we'll see 12 before 6. Lev made a non-commital, offhand remark about that. The call from Wolanchuk was, as usual, sassy and confident, a popping champagne cork in otherwise steady and low-level exchanges.
