And Mel Karmazin being the largest share holder puts an emphasis on share holder value!!!

And CBS in dire need of advertising revenues puts emphasis on acquisition currency!!!

"The estimated initial offering price for the Class A shares will be between $19 and $22 per share.

The U.S. underwriters have been offered an over-allotment option to purchase up to 17,212,500 additional Class A and international managers 3,037,500 additional Class A shares. The offering will be led by Merrill Lynch & Co.

After the offering, outstanding Class A common will total 135 million and Class B common 700 million for a total 835 million shares.

Net proceeds will be used to prepay the CBS note, and any balance will be used for general corporate purposes, including for working capital, repayment of debt and possible acquisitions.

Infinity has been approved to trade Class A common under the symbol ''INF''.on the New York Stock Exchange."


Now rumor has it that CBS shares will go up in value by $13 a share depending how high WS drives the INF shares up!
