Hi freeus,

Not certain, but I THINK that it is a share, the voting rights of which can be influenced by the officer, such as shares held by a spouse, or in a trust managed or directed by the officer. I think that Chuzzlewit or RudeDog can give you a much better answer, though, so you should ask one of them.
