France Telecom and Deutsche Telekom Seal Their Long-Standing Partnership

PARIS/BONN--(BUSINESS WIRE)--Dec. 1, 1998--The purchase agreements for the cross shareholding between France Telecom and Deutsche Telekom have been signed today by France Telecom Chairman Michel Bon and Dr. Ron Sommer, Chairman of Deutsche Telekom AG.

This transaction seals the long-standing partnership between France Telecom and Deutsche Telekom. According to the terms of the agreement, Deutsche Telekom purchased 20,492,292 France Telecom shares from the French State, while France Telecom acquired 54,874,000 Deutsche Telekom shares from the Kreditanstalt fur Wiederaufbau (KfW), the German financial institution which manages these shares for the German State. The two companies now hold two percent of each other's share capital.

At the signing of the agreement, Michel Bon noted, "After ten years of cooperation, our partnership with Deutsche Telekom was ready for a cross shareholding. By better orchestrating our activities in a number of fields, we intend to create significant synergies, realize economies of scale, develop more innovative services for the benefit of our customers throughout Europe and create value for our shareholders."

Dr. Sommer said, "This cross-shareholding underlines and reinforces the strategic partnership between Deutsche Telekom and France Telecom. Working together in close cooperation allows Deutsche Telekom and France Telecom to benefit even more from the opportunities offered in dynamic markets and to master challenges even more effectively. Customers will benefit with ever improved products and services at more and more attractive prices as a result of the two companies' cooperation in Europe and in international markets."

This agreement marks a new decisive step in the alliance pursued by the two European carriers over the past years. The closeness of the cooperation between the two telecommunications companies was demonstrated clearly by the election of the Chairman of the Board of Management of Deutsche Telekom AG, Dr. Ron Sommer, to France Telecom's Board of Directors and the election of the Chairman of France Telecom, Michel Bon, to the Supervisory Board of Deutsche Telekom AG in May 1998.

The partnership has been further consolidated by a cooperation agreement announced on July 20 and signed by the two Chairmen on November 10, 1998. This agreement, subject to regulatory approval, aims to generate significant operational synergies in areas, such as research and development, international business and networks, data transmission, multimedia, information systems and telephone cards. This will also lead to a further improvement in the quality of the telecommunications services offered by France Telecom and Deutsche Telekom and thus to direct advantages for the customers of both companies.

The two partners will also strengthen their cooperation in international markets. France Telecom and Deutsche Telekom are already directly active in approximately 20 countries in Europe, including both joint and separate ventures.

The two operators are proactively expanding their worldwide activities. Most recently, this cooperation has taken concrete form in successful joint ventures in Italy (Wind), the United Kingdom (MetroHoldings) and Switzerland (Multilink). At the same time, customers of France Telecom and Deutsche Telekom enjoy access to the worldwide seamless portfolio from Global One, the joint venture of Deutsche Telekom, France Telecom and Sprint.
