Quit blaming things on ex-Simmers.

They broke the rules, and now are suffering the consequences. (But is PH really suffering? Could this have been his plan all along? ESVS is now rather helpless without him, isn't it?)

I think that NASDAQ was just doing their job of protecting the public, though not in a particularly timely manner.

I'm a government employee that deals with federal regulations that are constantly being revised and updated. I know for a fact that most corporate lawyers that deal with government regulations don't let these things slip by them. Instead, I think they tried to slip a fast one past the government.
