Well if you think DCTC shares are worthless then you are correct in assuming DCTC didn't give up anything for this deal.

4.25M shares comes out of the shareholders' equity. It dilutes the current shareholder value, and thus the stock value, by 13% off the top. If DCI can't collect at least $16M of the defaulted debt that they effectively "assumed," then they are in the red on this deal.

If IXC thought the debt was collectable, then they wouldn't have "sold" it to DCI at a discount. That makes no business sense. If that's what it takes for DCI to get in bed with IXC, then they are at a minimum paying a price for it.....
