12/9/98 - Alternative Fuel And Clean Air Partners Amend Agreement ALTERNATIVE FUEL SYSTEMS INC ("ATF-V") - Alternative Fuel And Clean Air Partners Amend Agreement Alternative Fuel Systems (AFS) of Calgary, Alberta and Clean Air Partners (CAP) of San Diego, California announce amendments to their existing 1993 joint product development and marketing agreement. These changes will benefit both firms as AFS and CAP expand marketing and sales of Dual Fuel Diesel (DDF) conversion systems in North America and around the world. The continued co-operation between AFS and CAP should prove mutually beneficial now and in the future. Under the terms of the amended agreement: Mexico is now included without restrictions as AFS territory for the sale of DDF systems, both retrofits and OEM's. Mexico was one of the exclusions in the original agreement in which AFS was given world wide rights to exploit DDF systems incorporating CAP's technology outside the United States. Caterpillar Inc. may market world wide DDF engines incorporating the fully electronically controlled gas fuel injection system technology, as covered by the new U.S. 1995 patent. Any engine builder in AFS' territory wishing to market the new all electronic technology based engines in the U.S. will require a license from Caterpillar Inc. AFS retains exclusive marketing rights, outside the United States for DDF Systems. AFS and CAP have agreed to cooperate in mainland China with respect to the retrofit market. Dr. John Beck, Chairman of CAP, has been working in the People's Republic of China for over 10 years. Long-standing relationships developed over this period will greatly benefit the joint efforts of AFS and CAP in China. CAP has acquired the rights to purchase the new AFS-Sherex gas regulator product line to resell or include with CAP-DDF systems for sale in the U.S.A. This new agreement is expected to result in rapidly increasing sales for the newly acquired AFS-Sherex regulator division. CAP purchased test regulator units from Sherex prior to AFS' acquisition of the Sherex regulator division and is now a customer of AFS for these uniquely superior regulator units. CAP, a leading worldwide designer and manufacturer of Dual-Fueled technology systems and related products, has been a long term strategic associate of AFS. CAP's system contains many of the same components utilized in the AFS DDF system. CAP is a development partner of Power Systems Associates, Los Angeles, dealer and distributor for Caterpillar Inc. (CAT). Together CAP and Power Systems are responsible for bringing new products to market. CAP's 3176G/C10G Dual Fuel Natural Gas engine, launched by Power Systems and backed by CAT was the first major DDF engine development to be fully supported and backed by an original equipment manufacturer (OEM) in the U.S. Paul Beck, President and C.E.O. of CAP is very pleased with this expanded agreement and stated: "Having worked with AFS very closely over the last 5 years CAP and AFS can now look forward to very profitable exploitation of jointly developed technologies and markets".
