I bought Private Placement shares in a company in summer of 1996 unrestricted, well actually restriced for 30 days(that about the time it takes to get them into your hands). I was told at that time that any future PP shares would have a 12 mos restriction due to SEC. I bought PP shares this year in another company had a 12 mos restriction tried to talk them into a shorter time on the restriction was told could not be done because of SEC rules. So this may give you a time frame. The PP in 1996 were Reg S shares and I did not have to file to sell with the sec. I believe these restricted shares I hold now I will have to file when I get ready to sell. Really not sure about that as I have a time to go before I have to sell them. Actually not sure are reg S and 144 shares the same?????
