The fact that PanAmerican Bancorp just hired a very qualified
individual with much experience with public companies and knows
the NASDAQ market speaks well for the Company. Here is Mary
Feder's qualifications from her last couple of positions. She is now
Vice President of Investor Relations for PanAmerican Bancorp.

Feder comes to PanAmerican BanCorp from The Long Island Savings Bank where she was Vice President, Investor Relations responsible for founding the department after the Bank's Initial Public offering in April 1994. As part of her responsibilities, Feder developed strategies for communicating with the financial community and the media.

Prior to that, Feder was Manager of Corporate Communications at ImClone Systems, a Manhattan-based biotechnology company. She was responsible for developing the investor relations effort after their initial public offering in 1991 and managing all of the company-wide communications.

George Kravine has been involved with PanAmerican Bancorp since its
beginning in July, 1998. I have spoken to him several times. He is
currently part time in investor relations at PanAmerican. He is an
expert in the securities area and has been a securities consultant
for many years. George has told me on several occasions of how he
has dealt with many companies on different securities issues and he
has also been a consultant for PanAmerican Bancorp besides the
investor relations role.

In addition, there is a legal team overlooking the company.

My point - Some of the securities issues that have been raised
seem extremely extremely doubtful given the direction the company
has gone with its professional personnel and outside consultants.
IMO
