Those 40% agreed to the deal when it looked like they would get a small premium. I doubt they will agree to the same deal when it is going to cost them money.

Humongous has already been scooped up by GTIS. I assume you mean GTIS. Since I own some (GTIS) I would not complain too loudly if MSFT is interested <g>.
