Why are you so sure of all this? Have you talked to the company and know something that I don't? I have a number of reservations about the merger. Aside from the business issues, which are open for debate, as a starter I want to know:

Are there any caps or out clauses in the deal?
What happens if someone else offers a higher price for STB?
If TDFX sinks to 8 or less, is the deal still on?
If STB loses Dell, will 3Dfx still have to buy STB? Will they want to?
What happens if accounting or operational bombshells develop in either company?
Who were the advisors for the merger?
Why did 3Dfx offer a 85% premium to STB? How did the value STB?
Who will represent 3Dfx in European shelves?

I am not blind to the potential merits of this merger, but there has been very little information provided by the company. If things go seriously wrong, the board of 3Dfx can justifiably be sued by the shareholders, especially since they are providing so little information on the merger.
