NOTE 9 - LITIGATION

During March 1998 through May 1998, six class action complaints alleging violations of the federal securities laws were filed against the Company. On September 11, 1998, the court entered an order consolidating these cases, appointing lead plaintiffs and approving plaintiffs' selection of lead counsel. On October 29, 1998, the lead plaintiffs filed a Consolidated Amended Class Action Complaint For Violation Of The Federal Securities Laws And The California Corporations Code. The consolidated amended complaint asserts claims for violations of the Securities Exchange Act and the California Corporations Code against the Company, certain of its present officers and directors, and Price Waterhouse LLP on behalf of persons who purchased the Company's stock between April 17, 1996 and March 11, 1998. The consolidated amended complaint alleges that the Company and the other defendants issued false and misleading statements in the Company's filings with the Securities and Exchange Commission and in other public statements. The Company's response to the consolidated amended complaint is scheduled to be filed on December 16, 1998. Management is unable to determine whether the outcome of this litigation will have a material impact on its financial position, results of operations and cash flows.
