Sounds pretty similar to what is going on here..It's just a little frustrating to know that you can't get to your money when you want it..Plus, if I want to withdraw all my shares now, I have to do it in installments which means there is a brokerage charge for each time I do.

TXN recently changed to a similar Employee Stock purchase plan. Two six month holding periods with a 15% discount at the lower of the set
point or the value at the execution date.

However the 401K monies seem to be deposited directly to individual
accounts on the same day that the money is withheld from the paycheck.
